1. Agreement
These Terms of Service (the "Terms") are a binding agreement between you and Maybloc ("Maybloc", "we", "us") and govern your use of maybloc.com (the "Site"), the dashboard at app.maybloc.com (the "App"), and our application programming interface and documentation (the "API"), together the "Services".
By creating an account, purchasing credit, or using the Services, you agree to these Terms and to our Privacy Policy. If you use the Services on behalf of an organization, you agree on its behalf and confirm that you have authority to do so; "you" then means that organization. If you do not agree, do not use the Services.
2. Eligibility and accounts
You must be at least 18 years old, or the age of majority where you live, and able to form a binding contract. You may not use the Services if you are barred from doing so under applicable law, including sanctions and export laws.
You must give accurate account information and keep it current. You are responsible for keeping your password and API keys confidential and for all activity under your account and keys. Tell us promptly at [email protected] if you suspect unauthorized access.
3. The Services
The Services let you upload audio and video recordings and receive automated analyses, which may include transcripts, speaker separation, timing, overlapping-speech detection, and exports such as subtitle files. Features may be added, changed, or removed over time. Features labeled as coming soon, beta, preview, or similar are provided as-is, may change or stop without notice, and are excluded from any commitments we make about availability.
We may set and enforce limits on file size, duration, format, request rates, concurrency, and queue length to keep the Services reliable for everyone.
4. Your content
"Customer Content" means the recordings and other material you submit and the results we generate from them for you. As between you and us, you own your Customer Content.
You grant us a worldwide, non-exclusive, royalty-free license to host, copy, process, transmit, and display Customer Content only as needed to provide, secure, and support the Services for you, including through our service providers. This license ends when the Customer Content is deleted from our systems, except for copies in backups that are overwritten in the ordinary course.
You represent and warrant that you have all rights, notices, and consents required by law to submit each recording and to have it processed by us, including the consent of people who are recorded where the law requires it, and that your Customer Content and its use through the Services will not violate any law or anyone else's rights.
5. Acceptable use
You agree not to, and not to let anyone else:
- upload content that you do not have the right to share, or that was recorded unlawfully;
- use the Services for unlawful surveillance, to identify or track individuals without a lawful basis, or to create biometric profiles in violation of law;
- upload content that sexually exploits minors, promotes violence, or is otherwise illegal;
- infringe or misappropriate anyone's intellectual property, privacy, or publicity rights;
- probe, scan, or test the vulnerability of the Services, or bypass any security, authentication, rate limit, or usage control;
- interfere with or disrupt the Services, or overload them, including through automated means beyond documented API usage;
- reverse engineer, decompile, or attempt to extract the source code or underlying models of the Services, except where the law expressly allows it;
- use the Services or their output to build a competing product or to train a competing model;
- resell, sublicense, or provide the Services to third parties as a stand-alone service without our written permission; or
- share, publish, or embed your API keys in client-side code or public repositories.
We may remove content, suspend processing, or restrict access if we reasonably believe you have violated this section.
6. API and developer use
Your use of the API is subject to these Terms and our documentation. API keys are secrets tied to your organization; you are responsible for all requests made with them. We may change or deprecate API endpoints and fields; we will try to give reasonable notice of changes that are not backward compatible, except where a change is needed for security, legal, or operational reasons.
7. Fees, balance, and payment
The Services are paid in advance. You add credit to a prepaid balance, and each analysis is charged against that balance at the prices shown on the Site or in the App at the time the analysis is created. Prices are per minute of source media and are quoted in US dollars.
When you create an analysis, we reserve the quoted amount. If the analysis fails or is canceled, the reservation is released back to your balance; if it completes, the charge is settled. We may round charges to the smallest billable unit.
Payments are processed by our payment provider, which may act as merchant of record and whose terms also apply to your purchase. You are responsible for any taxes that apply to your purchases, other than taxes on our income.
Except where required by law or stated otherwise at the time of purchase, purchased credit is non-refundable, has no cash value, and cannot be transferred. If a refund is issued, the corresponding credit is removed from your balance. We may change prices with notice; changes do not affect analyses already created.
Any promotional or introductory credit is offered at our discretion, may expire, and may be withdrawn if abused.
8. Accuracy of results
Results are generated automatically and may be incomplete or inaccurate, including misattributed speakers, missed or misheard words, and incorrect timing. You are responsible for reviewing results before relying on them. The Services are not a substitute for a certified transcript, and you must not rely on them as the sole basis for legal, medical, financial, safety, or other high-stakes decisions.
9. Third-party services
The Services rely on and may link to third-party services, such as infrastructure, AI, and payment providers, and destinations you configure for webhooks. We are not responsible for third-party services that you choose to connect, and your use of them may be subject to their own terms.
10. Our intellectual property
We and our licensors own the Services, including the software, models, documentation, design, and brand, and all related intellectual property rights. Except for the limited right to use the Services under these Terms, we grant you no rights in them.
If you send us feedback or suggestions, we may use them without restriction or obligation to you.
11. Confidentiality and security
We treat Customer Content as confidential and protect it as described in our Privacy Policy. You are responsible for your own systems, for the security of your credentials and webhook endpoints, and for keeping your own copies of results you need to retain, because stored files and results are deleted after their retention windows.
12. Suspension and termination
You may stop using the Services at any time and may ask us to close your account at [email protected].
We may suspend or terminate your access, with notice where reasonable, if you breach these Terms, if your use creates a security, legal, or operational risk, if required by law, or if we discontinue the Services. If we discontinue the Services entirely for reasons other than your breach, we will refund any unused prepaid balance.
When your access ends, your right to use the Services stops, and we may delete your account and Customer Content in line with our Privacy Policy. Sections that by their nature should survive, including those on fees owed, disclaimers, limitation of liability, indemnity, and governing law, survive termination.
13. Disclaimers
TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICES AND ALL RESULTS ARE PROVIDED "AS IS" AND "AS AVAILABLE", WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, AND UNINTERRUPTED OR ERROR-FREE OPERATION. SOME JURISDICTIONS DO NOT ALLOW THESE EXCLUSIONS, SO THEY MAY NOT APPLY TO YOU IN FULL.
14. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, NEITHER PARTY WILL BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, DATA, OR GOODWILL, EVEN IF ADVISED OF THEIR POSSIBILITY.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR TOTAL LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICES OR THESE TERMS IS LIMITED TO THE GREATER OF THE AMOUNTS YOU PAID US FOR THE SERVICES IN THE TWELVE MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM, OR ONE HUNDRED US DOLLARS.
These limits do not apply to liability that cannot be limited by law, or to your obligations under the acceptable use and indemnity sections.
15. Indemnity
You will defend, indemnify, and hold harmless Maybloc and its affiliates, officers, employees, and agents from any third-party claim, loss, or expense, including reasonable legal fees, arising from your Customer Content, your use of the Services in violation of these Terms or the law, or your failure to obtain required rights or consents for recordings you submit.
16. Governing law and disputes
These Terms are governed by the laws of the jurisdiction in which Maybloc is established, without regard to conflict-of-law rules. The courts located there have exclusive jurisdiction over any dispute arising from these Terms or the Services, except that either party may seek injunctive relief in any competent court. Before filing a claim, you agree to contact us at [email protected] and try to resolve the dispute informally for at least 30 days.
If you are a consumer, nothing in these Terms takes away rights you have under the mandatory laws of the country where you live.
17. Changes to these Terms
We may update these Terms from time to time. We will change the effective date above, and for material changes we will give notice through the Services or by email before they take effect. By continuing to use the Services after changes take effect, you accept the updated Terms.
18. General
- Entire agreement: these Terms and the Privacy Policy are the entire agreement between you and us about the Services and replace any earlier agreements on the subject.
- Assignment: you may not assign these Terms without our consent. We may assign them in connection with a merger, acquisition, or sale of assets.
- Severability and waiver: if any provision is found unenforceable, the rest remains in effect. A failure to enforce a provision is not a waiver.
- Force majeure: neither party is liable for delays or failures caused by events beyond its reasonable control, other than payment obligations.
- Export and sanctions: you will comply with applicable export control and sanctions laws.
- Notices: we may give notices by email to your account address or through the Services. You may give notices to [email protected].
- Relationship: the parties are independent contractors; nothing here creates a partnership, agency, or employment relationship.
